Platform Agreement Scope
These Terms of Service (“Terms”) constitute an agreement between you (“User”, “Customer”, or “You”) and CHAT GROW (“CHAT GROW”, “we”, “us”, or “our”), a proprietorship enterprise (Proprietor: Kajal Kumari) operating the ChatGrow software platform, governing your access to and use of our public website (https://chatgrow.in), free online WhatsApp utilities, demo services, and the ChatGrow multi-agent CRM software platform.
1. Acceptance of Terms
By accessing this website, utilizing our free tools, submitting an inquiry form, or registering an account on the ChatGrow platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy, Cookie Policy, and Acceptable Use Policy. If you are entering into these Terms on behalf of an entity, you represent and warrant that you possess the requisite authority to bind that entity.
2. Free Online Utilities & Website Usage
ChatGrow provides free web-based utilities, including the WhatsApp Chat Button Generator and the WhatsApp QR Code Generator.
- As-Is Provision: Free tools are provided on an “as-is” and “as-available” basis without warranties of any kind.
- Client-Side Execution: Free tools process data locally in your browser without server retention. You are solely responsible for verifying the accuracy of the phone numbers, country codes, and greeting texts you enter.
- Permitted Use: You may copy, embed, and deploy generated code snippets and QR codes on your commercial or personal websites and printed materials.
- Prohibited Use: You agree not to attempt to reverse engineer, scrape, inject malicious payloads, or overload the tools or website infrastructure.
3. ChatGrow SaaS Software & Subscriptions
ChatGrow provides a cloud-hosted software application enabling businesses to manage customer conversations, shared team inboxes, broadcast campaigns, sales CRM pipelines, and automated bot workflows connecting to the official WhatsApp Business Platform (Cloud API).
- Account Security: You are responsible for safeguarding your login credentials and for all actions performed under your workspace account.
- Subscription Billing: Paid subscriptions are billed in advance on recurring monthly or annual billing cycles. Subscription features and tier limits (agents, active contacts, automations) are defined on our Pricing Page.
- Taxes: All fees are exclusive of applicable Indian Goods and Services Tax (GST) or other statutory levies, which will be charged as mandated by law.
4. Meta / WhatsApp Business Messaging Compliance
ChatGrow connects to the official WhatsApp Business Platform via Meta Cloud API endpoints. You expressly represent and warrant:
- You will send outbound marketing broadcasts only to recipients who have provided explicit, verifiable opt-in consent.
- You will comply with Meta’s WhatsApp Business Messaging Policy, Commerce Policy, and Terms of Service at all times.
- You will use Meta-approved message templates for business-initiated notifications outside customer service windows.
- You will comply with applicable Indian telecommunication rules, including the Telecom Commercial Communications Customer Preference Regulations (TCCCPR), anti-spam statutes, and consumer protection guidelines.
- You acknowledge that Meta reserves independent authority to approve templates, assign phone quality tiers, and apply rate restrictions or account bans for policy violations.
5. Meta Messaging Fees Clarification
Important Clarification: Subscription fees paid to ChatGrow cover software license access, multi-agent inbox hosting, CRM pipelines, and automation tools. Official WhatsApp per-delivered-message charges (Marketing, Utility, Authentication, and Service messages) are determined and levied directly by Meta Platforms, Inc. according to their official regional pricing schedule, billed via your connected Meta Business payment method.
6. Acceptable Use & Prohibited Conduct
You agree not to use the ChatGrow website, tools, or software platform for any unlawful purpose or in violation of our Acceptable Use Policy. Prohibited conduct includes sending unsolicited spam broadcasts, scraping phone numbers, distributing fraudulent or deceptive offers, disseminating malware, or attempting unauthorized access to other customers’ workspaces.
7. Intellectual Property Rights
- ChatGrow IP: The ChatGrow website, user interfaces, branding, software architecture, documentation, and tools are the proprietary intellectual property of CHAT GROW and its licensors.
- Customer Data Ownership: You retain complete ownership of all customer records, contact lists, conversation histories, and business assets uploaded into your ChatGrow workspace. We claim no ownership over your customer data.
- Third-Party Trademarks: WhatsApp, Meta, Facebook, and Instagram are registered trademarks of Meta Platforms, Inc. All other trademarks are the property of their respective owners. Reference to third-party trademarks indicates interoperability and does not imply official endorsement or sponsorship.
8. Service Availability & Modifications
We strive to maintain high service availability. However, we do not warrant that platform operations will be entirely uninterrupted, error-free, or exempt from scheduled maintenance. We reserve the right to upgrade, enhance, modify, or discontinue features of the platform or free tools with reasonable advance notice where practicable.
9. Limitation of Liability
To the maximum extent permitted under applicable law, in no event shall ChatGrow, CHAT GROW, its proprietor, or contributors be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, business interruption, loss of data, or reputation damages — arising out of or related to your use of the website, free tools, or software platform.
ChatGrow expressly disclaims liability for interruptions or service degradation caused by third-party infrastructure providers, including Meta Cloud API outages, telecommunication carrier failures, or hosting provider downtime. In all cases, cumulative liability shall not exceed the subscription fees paid by you to ChatGrow in the twelve (12) months preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless ChatGrow, CHAT GROW, and its operators from and against any claims, liabilities, damages, losses, or legal expenses arising out of your violation of these Terms, breach of Meta’s messaging policies, transmission of unsolicited communications, or infringement of third-party intellectual property or privacy rights.
11. Termination & Suspension
We reserve the right to immediately suspend or terminate your account access if you violate these Terms, our Acceptable Use Policy, fail to pay subscription invoices, or engage in activity that threatens the security or operational stability of the platform. You may cancel your subscription at any time via your workspace billing portal.
12. Governing Law & Dispute Resolution
These Terms and any dispute, controversy, or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or related to these Terms shall be subject to the jurisdiction of the competent courts in India (subject to formal legal review and business determination of exclusive territorial jurisdiction).
13. Updates to These Terms
We reserve the right to update or modify these Terms at any time. Significant changes will be communicated via notice on our website or email to registered account administrators. Continued use of our website or services following any modification constitutes your acceptance of the revised Terms.
